We are looking for competent Corporate Lawyers to handle all our client’s legal transactions, partnerships, and projects. Your principal goal will be to guarantee that all our clients’ transactions comply with state laws and regulations, while actively helping them avoid possible legal risks and violations. Other duties will include consulting and leading all corporate legal processes such as mergers, compliance issues, transactions, partnerships, and lawsuits for all the clients. The successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail.


Job Responsibilities

1) Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents)

2) Prepare the appropriate legal documents for trial or court proceedings.

3) Advise firm’s clients on their legal rights and obligations keep them up to date on new business laws and regulations.

4) Evaluate new business partnerships with vendors and subcontractors.

5) Manage different types of contracts, legal reports and supporting documentation.

6) Draft agreements which could be leave and license agreements, intercompany agreements, ICD agreements, employee contracts, shareholder agreements etc.

7) Design and oversee the company’s policy and position on legal matters.

8) Protect the company against legal risks and violations.

9) Examine the legal issues related to new products and services.

10) Negotiate deals on behalf of the firm’s clients.

11) Provide utmost confidentiality in all business-related matters.

12) Guide management on regulatory and compliance issues to ensure compliance with legal regulations.


Required Skills and Experience

1) Bachelor’s degree in Law.

2) Licensed to practice law from the State Bar Association.

3) A minimum of 5 years’ experience as a corporate lawyer preferably in a law firm.

4) Proven background on corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws)

5) Excellent communication skills, both verbal and in written.

6) Highly analytical with a strong attention to detail.

7) Outstanding managerial and negotiation skills.
